An exciting opportunity exists for an experienced legal practitioner to join a global food company as General Counsel and Company Secretary.  Leading a small, experienced and dedicated team, this role is responsible for the delivery of a responsive and professional legal and company secretariat service, ensuring compliance, managing risk and contributing to the strategic direction of the business within legal frameworks

 

Responsibilities (include but are not limited to):

  • Delivery of pragmatic and timely legal advice on a wide range of issues, supporting the Group’s diverse business operations
  • Advise on corporate transactions including financing, restructures, acquisitions, disposals and other intercompany agreements
  • Compliance, governance and risk management activities including:
    • implementation of global compliance initiatives
    • programs to ensure compliance with competition and consumer laws and foreign investment requirements
    • delivery of training to directors and other team members
  • Continuously look for opportunities for improving business precedents and processes to prepare for emerging issues, better manage risk or otherwise align with the business’ strategic objectives

 

About you:

  • Holds a current unrestricted practicing certificate in an Australian jurisdiction
  • Minimum 10 years PQE
  • Broad business understanding required, in-house legal or other commercial experience preferred
  • Significant practical experience in at least 4 of these areas: M&A, corporate, governance and compliance, foreign investment, competition and consumer law, litigation and disputes, commercial contracting 
  • Team leadership experience preferred
  • Ability to translate complex information to communicate it in a simple way
  • Responds calmly in difficult situations maintaining a strong stakeholder focus
  • Takes a strategic, commercial and solution-focussed approach
  • Exceptional ability to prioritise, manage expectations and delegate
  • Excellent attention to detail including adherence to deadlines
  • Resilient and robust, able to work in a fast-paced environment
  • Proven ability to constructively liaise with and influence stakeholders at all levels and take the perspectives of others into consideration
